1. Acceptance of these terms
These Terms of Use (“Terms”) govern your access to and use of the website operated by REACT Software, Inc. (“REACT,” “we,” “us,” or “our”). By accessing or using the website, you agree to be bound by these Terms. If you do not agree, do not use the website.
2. Eligibility
The website is intended for businesses and professionals. By using it, you represent that you are at least 18 years old and have the authority to accept these Terms on behalf of yourself and any organization you represent.
3. Permitted use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the website for lawful, informational, and business-evaluation purposes. You agree not to:
- access non-public areas of the site or others’ accounts without authorization;
- probe, scan, or test the vulnerability of the site, or breach its security or authentication measures;
- scrape, harvest, or use automated means to extract data except as expressly permitted;
- introduce malware or interfere with the integrity or performance of the site;
- reproduce, distribute, or create derivative works from site content except as allowed by these Terms; or
- use the site in violation of any applicable law, regulation, or export control.
4. Intellectual property
The website and its contents — including text, graphics, logos, the REACT name and seal, software, and design — are owned by or licensed to REACT and are protected by intellectual-property laws. Except for the limited license above, no right or license is granted to you. You may not use our trademarks without prior written permission.
5. Investor data room & confidentiality
Access to the investor data room is restricted, granted at our discretion, and conditioned on your acceptance of the confidentiality terms presented at sign-in. Access credentials are personal to you and may not be shared. Materials in the data room are confidential and provided solely to evaluate a potential relationship or investment; your use of them is governed by those confidentiality terms in addition to these Terms. We may suspend or revoke access at any time.
6. Export controls & sanctions
REACT operates in the defense and national-security sector, and this website, the investor data room, and certain materials, technology, software, and technical data made available through them may be subject to U.S. export-control and economic-sanctions laws — including the International Traffic in Arms Regulations (ITAR, 22 CFR Parts 120–130, administered by the U.S. Department of State’s Directorate of Defense Trade Controls (DDTC)), the Export Administration Regulations (EAR, 15 CFR Parts 730–774, administered by the U.S. Department of Commerce’s Bureau of Industry and Security (BIS)), and sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).
By accessing the website or any materials, you represent, warrant, and agree that:
- you will comply with all applicable U.S. export-control and sanctions laws and regulations, and will not export, re-export, transfer, or disclose any controlled materials, technology, or technical data in violation of them;
- you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and you are not a “denied,” “blocked,” or “sanctioned” party (including any person on OFAC’s Specially Designated Nationals (SDN) List or the Commerce Denied Persons / Entity Lists);
- you will not provide access to controlled materials to any foreign person without any authorization required under the ITAR or EAR, recognizing that disclosure or access by a foreign person may constitute a regulated “export” or “deemed export”; and
- you will not use the materials for any prohibited end-use, including in connection with weapons of mass destruction or unauthorized military end-uses.
Certain materials may be released only after additional screening or authorization. Where a document is identified as export-controlled, access is conditioned on satisfying applicable requirements, and REACT may withhold, condition, or revoke access to comply with these laws. Nothing on this website constitutes authorization to export or transfer any controlled item.
7. No investment advice; forward-looking statements
Content on this website is provided for general informational purposes only and does not constitute an offer to sell or a solicitation of an offer to buy any security, nor investment, legal, tax, or financial advice. Any such offer would be made only through definitive offering documents to eligible investors. The website may contain forward-looking statements about our plans, technology, and markets; these involve risks and uncertainties, actual results may differ materially, and we undertake no obligation to update them.
8. Third-party links
The website may link to third-party sites or resources. We do not control and are not responsible for their content, policies, or practices, and links do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.
9. Disclaimers
The website and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the website will be uninterrupted, secure, error-free, or that information is accurate, complete, or current.
10. Limitation of liability
To the maximum extent permitted by law, REACT and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the website. Our total liability for any claim relating to the website will not exceed one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify and hold harmless REACT and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the website or your breach of these Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to other binding agreement between us.
13. Changes to these terms
We may revise these Terms at any time by posting an updated version on this page and updating the “Last updated” date. Changes are effective when posted. Your continued use of the website after changes take effect constitutes acceptance of the revised Terms.
